ARTICLE I

PURPOSES

Section 1.01: The American Board of Homeopathic Medicine (ABHM) is an organization of licensed homeopathic specialists in the United States who have attained the status of board certification in homeopathic medicine. It was established to evaluate licensed homeopathic practitioners for proficiency in homeopathic medicine.

ARTICLE II

MEMBERS

Section 2.01: There shall be two classes of members of the American Board of Homeopathic Medicine.

Section 2.02 The Active Members including: licensed medical, osteopathic and naturopathic physicians, and licensed dentists, nurse practitioners and physician assistants who have fulfilled the qualifications for Diplomate status and passed the evaluation of the Board and continue to pay yearly dues.

Section 2.03 The second category will be Inactive Members for Diplomates who are not up-to-date with payment of dues.

ARTICLE III

MEETINGS

Section 3.01: The Board of Directors shall meet at such place and time as shall be designated by the President of this Board. Email notification of a Regular Meeting shall be issued by or at the direction of the President or the Secretary at least thirty (30) days before the meeting. Such notice shall be considered delivered when the email is sent and is not undeliverable.

Section 3.02: Special Meetings of the Board of Directors may be called at any time with at least 3 days notice by email of the time and place of such meeting, by the President. The business conducted at a Special Meeting shall be limited to the purposes set forth in the email notice of such Special Meeting.

Section 3.03: A two thirds majority of the Board shall constitute a quorum at any meeting of the Board of Directors. If a quorum is not present at any meeting of the Board, the meeting will be recessed to a date selected by the majority of the Board present.

ARTICLE IV

BOARD OF DIRECTORS

Section 4.01: The business and affairs of the ABHM shall be managed by the Board of Directors which shall exercise the power of the corporation.

Section 4.02: The Board of Directors shall consist of up to nine (9) elected Directors of which there shall be the following officers: President, Vice President, Secretary, and Treasurer. At least 2 board members/officers shall hold the MD/DO degree and at least 2 board members/officers shall hold the ND degree. Other licensed professions (e.g. dentists, NPs and PAs) with 10% or more of the active membership will also be eligible for a board member position(s).

Section 4.03: The membership of the ABHM shall elect Directors/Officers for three (3) year terms.

Section 4.04: In the event of the death or resignation of a Director, his/her unexpired term shall be filled by appointment of the remaining Board.

Section 4.05: The Directors/Officers shall not receive any compensation for their services, but, by resolution of the Board, they may be reimbursed for expenses incurred to attend meetings of the Board, and for expenses incurred in the execution of their duties, including their service as reviewers of applicant’s cases.

ARTICLE V

QUALIFICATIONS OF CANDIDATES

Section 5.01: The Board of Directors shall set forth the requisite qualifications of candidates seeking certification by the American Board of Homeopathic Medicine.

Section 5.02: The Board of Directors shall prescribe the training which shall be considered necessary to be considered qualified for candidacy.

Section 5.03: Licensed Medical, Osteopathic and Naturopathic physicians as well as licensed Dentists, Nurse Practitioners and Physician Assistants certified by the Board shall be designated Diplomate of the American Board of Homeopathic Medicine (DABHM).

ARTICLE VI

EXAMINATIONS

Section 6.01: The Board of Directors shall prepare or cause to be prepared from time to time as required, evaluations for the purpose of qualifying medical, osteopathic and naturopathic physicians as well as dentists, nurse practitioners and physician assistants as specialists in the field of Homeopathic Medicine and shall prescribe the regulations under which the evaluations shall be performed.

Section 6.02: The Board of Directors shall set the fee for the examination.

Section 6.03: The Board of Directors shall appoint such examining boards as may be required from time to time to conduct and supervise examinations.

ARTICLE VII

AMENDMENTS

Section 7.01: These By-Laws may be amended at any meeting of the Board of Directors by a vote of a two thirds majority in attendance.

ARTICLE VIII

DISSOLUTION

Section 8.01: In the event of a dissolution of the American Board of Homeopathic Medicine, any residual property and monies are hereby deeded to The American Institute of Homeopathy and the Homeopathic Academy of Naturopathic Physicians if such organizations exist and, if not, then to a national organization dedicated to the furtherance of Homeopathic Medicine.
